Plank Terms of Use
1. Overview
These Terms govern access to and use of Plank, including workspaces, documents, reports, dashboards, automations, integrations, browser sessions, scripts and AI features.
The operator is Plank MD LLP — legal name under Kazakhstan law: Товарищество с ограниченной ответственностью «Планк МД» — BIN 260640029319, Kazakhstan, Almaty, Bostandyk district, 22 Liniya street, 13A, postal code 050046.
These Terms apply to all users. They do not replace the direct B2B public offer, Privacy Policy, or Data Processing Terms. If a customer pays through Paddle or another merchant of record, that provider handles the payment and tax documentation for that transaction.
The operator and provider of Plank under these Terms is TOO “Plank MD” (BIN 260640029319).
2. Accounts and Authority
Users must be at least 18 years old and have legal capacity to accept these Terms, unless applicable law or a separate enterprise agreement allows another arrangement.
Users must provide accurate information and protect their credentials. If a user acts for an organization, the user represents that they are authorized to use Plank and, where applicable, accept legal terms on behalf of that organization.
The customer is responsible for its users, admins, invited members, connected services, credentials and actions within its workspace.
3. Acceptable Use
Plank may be used for lawful business, professional, organizational and personal work. Users must have the rights and lawful basis to upload, connect and process data in Plank.
Users must not use Plank for illegal activity, rights infringement, malware, unauthorized access, bypassing limits or security controls, fraud, phishing, spam, processing data without rights, harmful content, reverse engineering, resale or building a competing service without written permission.
4. AI Features
Plank may use AI models, agents, tools, integrations and third-party providers to process requests and generate outputs.
AI outputs may be wrong, incomplete, outdated or unsuitable. Users must review outputs before relying on them for legal, financial, tax, HR, medical, technical, management or other important decisions. Plank does not replace professional advice.
5. Data and Privacy
Personal data processing is governed by the Privacy Policy. B2B workspace data processing is governed by the Data Processing Terms or a separate DPA.
Users must not upload highly sensitive, medical, biometric, banking, state-secret, classified or specially regulated data unless such processing is expressly agreed in writing.
6. Third-Party Services
Plank may connect to third-party services selected or authorized by users, including storage, documents, email, calendars, messengers, browser sessions, CRM, APIs, payment providers and AI model providers.
Plank is not responsible for outages, restrictions, pricing, API changes, blocking or actions of third-party services outside Plank's control.
Plank may allow users to connect their own AI provider accounts, including API keys, OAuth tokens or other credentials. These credentials are encrypted at rest and used only to process user requests. Use of third-party AI providers is governed by those providers' terms, and users are responsible for provider-side costs when they use their own accounts or keys.
7. Plans and Payments
Plans, limits, features, pricing and billing periods are determined by the pricing page, Paddle checkout, direct TOO invoice, public offer, order form, specification or separate agreement.
Specific prices, trial periods, discounts, limits and payment terms are set on the pricing page, checkout flow, invoice, order form, specification or separate agreement, not in this document.
Global self-serve subscriptions may be priced in USD through Paddle. Direct B2B sales by TOO “Plank MD” to Kazakhstan residents should fix the customer's monetary obligation in KZT.
Subscriptions may renew automatically until cancelled where stated by the applicable plan or payment channel. Web subscriptions are cancelled through the subscription management page or Paddle link; App Store and Google Play subscriptions are cancelled through Apple or Google account settings.
Refunds for web purchases are handled through Paddle according to Paddle's policies and applicable law. Refunds for App Store or Google Play purchases are handled by Apple or Google. Refunds for direct TOO B2B payments should be governed by the invoice, public offer, order form or separate agreement.
8. Availability and Support
Unless a separate SLA is agreed in writing, Plank is provided “as is” and “as available”. Plank may change, improve, limit, add or remove features, limits, integrations and models, and may perform planned or emergency maintenance.
Support is provided according to the applicable plan, invoice, order form, agreement or help materials.
9. Intellectual Property
All rights in Plank, including software, code, architecture, interface, design, documentation, prompts, templates, workflows, know-how and marks, belong to Plank or are used lawfully by Plank.
Users receive a limited, non-exclusive, non-transferable right to use Plank within the applicable plan, term and limits.
10. Liability
To the maximum extent permitted by law, Plank is not liable for indirect damages, lost profits, data loss, business interruption, reputational harm, errors in customer data, AI output errors, third-party service outages or decisions made without human review.
Unless required by law or agreed separately, Plank's aggregate liability is limited to the amount paid by the customer for Plank during the 3 months before the event giving rise to the claim.
11. Termination
Users may stop using Plank as provided by the applicable plan, interface, Paddle checkout, public offer or agreement. Plank may restrict or terminate access for breach, non-payment, security risk, abuse, unlawful activity or other material risk.
Export, retention and deletion of customer data after termination are governed by the Data Processing Terms, plan, product interface or separate agreement.
12. Changes
Plank may update these Terms by publishing a new version at https://plank.md/terms. Material changes may require renewed acceptance or be notified through the product, website, email or another reasonable channel.
13. Governing Law
For direct B2B relationships with TOO “Plank MD”, Kazakhstan law applies unless a separate agreement says otherwise. Disputes are resolved by negotiation and, if unresolved, by the court at the location of TOO “Plank MD”, unless mandatory law or a separate agreement requires otherwise.
This document is published in English and Russian. If there is any conflict or discrepancy between the two language versions, the Russian version prevails.
